Bylaw Hints:
The National Student Nursing Association has identified four areas of conformity to be included in all state bylaws:
1. Purpose and Function
Purpose and function for your organization must be clearly stated.
Hint: NSNA and TNSA purposes and functions can be adapted for your chapter's bylaws.
2. Membership
Membership levels within your chapter should be defined, i.e., active, associate, individual, subscriber, honorary, etc.
3. Dues
One check for $40.00 covers NSNA dues of $30.00 and TNSA dues of $10.00. The membership fee for new members is $30.00
4. Representation
Representation refers to the number of delegates/alternates a chapter
may have for both the State and National conventions.

For
TNSA Convention: An initial membership of five (5) members meets
constituency requirements, which allows the chapter to have one (1)
delegate and one (1) alternate. For each additional twenty (20)
members that a chapter acquires, it is allowed an additional delegate
and alternate.
- For NSNA Convention: Each school chapter that is recognized as a constituent (10 member minimum) is entitles to one (1) voting delegate and one (1) alternate, as well as an additional delegate and alternate for every 50 members.
Hint: If your bylaws contain a lot of information about committees or annual activities that you find you must alter frequently, have a set of standing rules and a set of bylaws. The standing rules may be changed by your executive officers without putting it to membership vote (even though you can still vote if you want to). This would eliminate having to redo the bylaws too frequently. The standing rules don't have to be submitted for approval to TNSA.

Texas Nursing Students' Association, Incorporated
ARTICLE I
NAME
The name of this organization shall be the Texas Nursing Students' Association, Incorporated hereafter referred to as TNSA, Inc.
ARTICLE II
PURPOSE AND FUNCTION
Section I Purpose
TNSA shall:
A. Assume the responsibility for contributing to nursing education in order to provide the highest quality of health care.
B. Provide programs representative of fundamental and current professional interest and concerns.
C. Aid in the development of the whole person, his/her responsibility for the health care of people in all walks of life, and his/her professional role.
Section II. Function
TNSA shall:
A. Have direct input into standards of nursing education and influence in the educational process.
B. Influence health care, nursing education, and practice through legislation activities as appropriate.
C. Promote and encourage participation in community affairs and activities as appropriate.
D. Represent nursing students to the consumer, institutions, and other organizations.
E. Promote and encourage recruitment efforts, participation in student activities and educational opportunities regardless of race, color, creed, sex, national origin, economic status, age, or lifestyle.
F. Promote and encourage student participation in inter-disciplinary activities.
G. Promote and encourage collaborative efforts with the National Student Nurses' Association, American Nurses Association, National League for Nursing, International Council of Nurses, Texas Nurses Association, Texas League for Nursing, as well as other nursing and related health care organizations.
H. To disseminate information to the school chapters regarding ethical and legal concerns of nursing at the state and national levels, continuing education, and current nursing roles.
I. To promote participation in professional organizations after graduation.
ARTICLE III
MEMBERS
Section I. Membership Classification and Rights
There shall be five (5) classes of membership: active, associate, individual, subscriber, and honorary.
A. Constituent Membership
1. Active Members
a. Students enrolled in Texas State Board of Nurse Examiners approved programs leading to licensure as a Registered Nurse.
b. Registered Nurses enrolled in programs leading to a baccalaureate degree with a major in nursing.
c. Active members shall have all the privileges of membership and shall:
1) Receive the official publication of TNSA, the CENTRAL LINE accessed through the TNSA web page at www.tnsa.org.
2) Be eligible for appointed or elected office.
3) Be eligible to serve in the House of Delegates as representatives.
2. Associate Members
a. Pre-nursing students, including Registered Nurses, enrolled in a college or university program designed as preparation for entrance into a program leading to an associate degree, diploma, or baccalaureate degree in nursing.
b. Associate members shall have all privileges of membership, except the right to hold the offices of President or Vice-President at the state or national level.
3. Individual Members
a. Individual membership shall be open at the State and National level to any eligible student when membership in a constituent association is not available.
b. Individual members shall have all the privileges of active membership.
B. Non-Constituent Membership
1. TNSA Subscriber Members
a. Subscriber membership shall be open at the state level to any individual interested in furthering the development and growth of TNSA.
b. Subscriber members shall receive literature from the state association and member rates to workshops, seminars, and the annual convention.
c. TNSA Subscriber Membership is separate from NSNA Sustaining Membership.
d. All Faculty Advisors to TNSA Chapters will be TNSA Subscriber Members.
2. Honorary Members
a. Honorary membership may be conferred by a two-thirds (2/3) vote of the House of Delegates with the recommendation of the Board of Directors upon persons who have rendered distinguished service or valuable assistance to TNSA.
b. Honorary members shall receive the following privileges:
1) Certificate of Appreciation
2) Receive the official publication, the CENTRAL LINE.
3) Be able to attend the House of Delegates with speaking privileges.
C. Active, associate, and individual membership shall be renewable annually.
D. Active, associate, and individual membership may be extended six months beyond graduation from a student's program in nursing, providing membership was renewed while the student was enrolled in a nursing program. Subscriber membership shall be renewable annually.
ARTICLE IV
CONSTITUENT ASSOCIATIONS
Section I. National Constituent Association: NSNA
A. Any school chapter or state association whose membership is composed of active or associate NSNA members and who have submitted the Official Application for NSNA Constituency Status containing the areas of conformity, and upon meeting such other policies as the Board of Directors may determine, shall be recognized as a constituent.
B. A school chapter shall be composed of at least ten (10) members from a school or the total school enrollment if less than ten (10). There shall be only one chapter on each school campus.
C. A state association shall be composed of at least two school chapters in any state. There shall be only one state association in any state. School chapters shall belong to their state association when one exists. The term "state" in these bylaws shall be understood to apply equally to any state in the United States of America, to the District of Columbia, or to any territory, possession, or dependency of the United States of America.
D. For yearly recognition as a constituent, constituent associations shall be required to submit annually the Official Application for NSNA Constituency Status which shall include the following areas of conformity: purpose and functions, membership, dues, and representation.
E. A constituent association which fails to comply with the bylaws and policies of NSNA shall have its status as a constituent revoked by a two-thirds (2/3) vote of the Board of Directors, provided that written notice of the proposed revocation has been given at least two (2) months prior to the vote and the constituent association is given an opportunity to be heard.
F. School chapters and state associations are entities separate and apart from NSNA in their administration of activities, with NSNA exercising no supervision or control over the immediate daily and regular activities. NSNA has no liability for any loss, damages, or injuries sustained by third parties as a result of the negligence or acts of school chapters or state associations, or the members thereof. In the event any legal proceeding is brought against NSNA as a result of such acts of omission or commission by a school chapter or state association, said school chapter or state association will indemnify and hold harmless the NSNA from any liability.
Section II. State Constituent Association: TNSA
A. The division of TNSA shall be local chapters.
B. Recognition - School chapters where membership is composed of active or associate members, and whose bylaws have been approved and remain current, and upon meeting other such policy regulations as the Board of Directors have determined, shall be recognized as a constituent member.
C. Requirements - For initial recognition, a school chapter shall be composed of at least five (5) members from a school or the total enrollment if less than five (5) persons. Once a school is recognized as a constituent, membership may drop below five (5) as long as the school sends its TNSA constituency form to TNSA every year, and sends its NSNA constituency form to NSNA every year.
1. If the membership falls below five (5), the school still has a qualified chapter but may not have a voting delegate at convention.
2. If a chapter's constituency is revoked for any reason, it shall be necessary to file for initial recognition with five (5).
3. There shall be only (1) chapter on a school campus.
4. All TNSA constituent schools are encouraged to have faculty advisor/s who hold current membership in Texas Nurses' Association and/or Texas League for Nursing.
D. Application for charter of bylaws - For initial recognition as a TNSA constituent, local chapters shall be required to submit their bylaws, which shall include the following areas of conformity for active and associate members: purpose and function, membership, dues, and representation.
E. If a local chapter fails to submit a TNSA constituency form by the deadline date, that chapter will forfeit its delegate seat (s) in that year's TNSA House of Delegates.
F. A local chapter which fails to comply with the bylaws and policies of TNSA shall have its status as a constituent revoked by a two-thirds (2/3) vote of the Board of Directors, provided that written notice of the proposed revocation has been given at least two (2) months prior to the vote and the local chapter is given an opportunity to be heard.

ARTICLE V
OFFICERS
Section I. Officers
A. The elected officers of TNSA shall be the executive board (President, Vice-President, Secretary-Treasurer), Editor, and four (4) Regional Directors.
B. Four (4) regional directors shall be elected from and attending school in, each of the four election regions as defined by the Board of Directors
C. All officers shall submit two (2) articles per year to the CENTRAL LINE.
D. Officers shall be elected by ballot at the annual convention. A majority vote shall elect.
Section II. Qualifications
A. Candidacy for the offices of President and Vice-President shall be open only to those candidates who will be nursing students (enrolled Diploma/ADN/BSN only) throughout the full term of their offices.
B. Candidates for all other offices shall be nursing students (enrolled Pre-nursing/Diploma/ADN/BSN) at least one-half (1/2) of that term.
Section III. Term of Office
The term of office shall be one (1) year from the adjournment of the annual meeting at which officers are elected to adjournment of the annual meeting at which their successors are elected. No elected officer shall serve more than two (2) terms. No officer may hold the position of President or Vice-President at the local level concurrently while serving as a State Officer. An elected President or Vice-President will have sixty (60) days to resign their local chapter position.
Section IV. Vacancy of Office and Unfinished Elections
A vacancy in the office of the President shall be filled by the Vice-President. In the event of a vacancy in any other office, the vacancy shall be filled, if deemed essential, by a vote of the Board of Directors. The election shall be by ballot vote and a majority vote shall elect. Nominations shall come from the floor. The candidate must have agreed in writing to accept the position prior to election.
Section V. Duties of the Officers
A. The President shall:
1. Preside at all meetings of the association except committee meetings.
2. Serve as ex-officio member to all committee except the Nominations Committee.
3. Appoint chairpersons of all committees, unless otherwise stated in these bylaws, with the approval of the Board of Directors. The chairperson will appoint the committee members.
4. Be the official representative of TNSA.
5. Sign checks with the Treasurer and Board of Directors approved third party.
6. Serve as co-chairman of TNA/TNSA Common Interest and Goals Committee.
7. Serve as the President of the Foundation of TNSA, Inc.
8. The President shall orient the President-Elect during the months after the state convention and before the second board meeting.
9. The President-Elect will be inducted in as President at the beginning of the
second board of directors meeting that occurs in May.
10. The President and the President-Elect will attend the NSNA convention, where the President shall orient the President-Elect.
11. The President shall be the official representative of Texas at the NSNA House of Delegates. If unable to attend, the President-Elect will then become the official delegate of Texas at the NSNA House of Delegates.
12. In the event the President is unable to serve office after the TNSA convention, the President-Elect will immediately be inducted into office and assume the position.
B. The Vice-President shall:
1. Preside in the absence of the President.
2. Succeed to the office of President for the unexpired term in the event of a vacancy in that office. In the event the unexpired term is less than six (6) months, it shall not count as one of their terms.
3. Keep the official register of TNSA members and supply a copy to each local chapter by October first (1st) and no later than 30 days prior to the annual convention of each year with a current list of the chapter's TNSA members.
4. Organize, in conjunction with the Board of Directors, an annual Council of Schools Workshop in accordance with the purposes and functions as stated in the standing rules.
5. Serve as the Vice-President of the Foundation of TNSA, Inc.
6. Be responsible, along with the Administrative Director for coordinating the State Convention.
7. Be an ex-officio member of all convention committees.
C. The Secretary-Treasurer shall:
1. Record the proceedings of all TNSA meetings.
2. Distribute the minutes from those meeting within thirty (30) days from the meeting to Board members, consultants and NSNA.
3. Serve as Secretary-Treasurer of the Foundation of TNSA, Inc.
4. Act as custodian of all TNSA funds, and sign checks as authorized by the Board of Directors.
5. See that an annual budget is prepared and submitted at the May Board of Directors meeting.
6. Submit all records and accounts of the organization to the CPA to be audited at the end of the accounting period.
7. Serve as chairperson of the Finance Committee.
8. Serve as ex-officio member to the Convention Committee.
9. Be responsible for generating funds by means of fund-raising projects.
E. The Editor shall:
1. Be the Publications/Subscriber Membership Committee chairperson.
2. Be responsible for coordinating and editing the CENTRAL LINE via the TNSA web page at www.tnsa.org and when necessary print and distribute with approval from the Board of Directors.
3. Be responsible for developing advertising policies subject to Board of Directors' approval.
4. Be responsible for sending copies of the CENTRAL LINE to TNSA, ANA, NLN, TLN, BNE, Texas Nurse Recruiters, Texas Hospital Association, and advertisers specific to each one of the CENTRAL LINE publications.
5 Submit an estimated expense budget for the CENTRAL LINE to the Treasurer at least fifteen (15) days prior to the first Board meeting after the post-convention meeting, to be included in the general annual budget to be submitted for Board approval.
6. Be responsible for obtaining news items regarding activities from the local chapters.
7. Solicit and contract with advertisers and send copies to the Treasurer for billing.
8. Locate a photographer for all TNSA activities.
9. Be responsible for sending TNSA (state) information to the NSNA Imprint in a timely manner.
F. All regional directors shall:
1. Be responsible for providing on-going communication between the TNSA Board of Directors and the chapters within their regions.
2. Assist chapters with areas of concern on the local level either through direct intervention or referral.
3. Provide timely reminders concerning all aspects pertaining to TNSA and NSNA. This should include, but not be limited by, reminders concerning constituency status to NSNA, news of chapter activities to the CENTRAL LINE and IMPRINT, bylaws status, and information regarding upcoming events.
4. Organize a seminar for their specific region once a year.
5. Assist with membership drives as needed.
6. Maintain and update general chapter information form, contact log, and record of meeting.
7. Serve as chair of one committee.
ARTICLE VI
NOMINATIONS AND ELECTIONS
Section I. Nominations Committee
A. Three (3) members shall be elected by ballot at the annual meeting. In the event less than three (3) are elected, the Board of Directors shall appoint the remaining positions.
B. Candidates shall be chosen from members who shall be nursing students (enrolled Pre-nursing/Diploma/ADN/BSN) at least one-half (1/2) of the term of their offices.
C. A plurality vote shall elect and the member receiving the most votes shall serve as the committee chairperson.
D. No member shall serve two (2) consecutive terms on the committee, and no two (2) members shall belong to the same local chapter.
E. If more than one (1) member from the same constituent association receives sufficient votes to be elected, the one receiving the most votes shall be elected.
F. The Nominations Committee chairperson shall be invited to attend two (2) Board of Directors meetings annually and shall not have voting privileges, but shall have expenses paid according to Board of Directors policy.
Section II. Duties of the Nominating Committee
A. To receive nominations for TNSA offices.
B. To supply ballots for the annual election of officers.
Section III. Report
A. The Nominations Committee shall submit one (1) or more names for each office to be filled.
B. The report of the committee shall be printed in the CENTRAL LINE preceding the convention and read on the first (1) day of the convention.
C. No name shall be placed in nomination without consent from the nominee and verification of qualifications by the Nominations Committee.
Section IV. Elections
A. Officers and elected positions shall be elected by ballot at the annual convention and will serve from the adjournment of the annual meeting at which officers are elected to adjournment of the annual meeting at which their successors are elected.
1. A majority shall elect.
2. If more than two candidates are running for the same office, with none
receiving a majority vote on the first ballot, a runoff shall be conducted
between the two candidates receiving the highest number of votes.
B. It shall be the responsibility of the out-going Board and President to submit all reports, minutes, funds, etc. to the Board-Elect within thirty (30) days of the TNSA Board of Directors election.
ARTICLE VII
CONVENTIONS
Section I. TNSA Convention
A. A Convention shall be held in the spring of the year at such place and time as determined by the Board of Directors.
B. The purpose of this meeting shall be to:
1. Elect officers
2. Receive all reports
3. Amend the bylaws
4. Conduct other such business as may arise.
C. The voting body shall be:
1. The elected officers
2. Recognized TNSA delegates (see Article VII Section II TNSA Constituents)
3. The cut-off date for determination of the number of delegates/alternates to which a chapter is entitled shall be consistent with the TNSA constituency form deadline.
D. Quorum - A quorum for the transaction of business at any House of Delegates meeting shall be a majority of those voting members registered with the Credentials Committee, provided that at least one-third (1/3) of the local chapters entitled to delegate representation are present.
E. Cancellation of the Convention - In the event of circumstances beyond the Board of Directors control, the convention may be canceled by an affirmative vote of each voting member of the Board. All local chapters shall be notified in writing of the cancellation and the Board of Directors shall provide for the election of officers by mail within forty-five (45) days of the scheduled convention.
Section II. TNSA Constituents
A. A school chapter recognized as an TNSA constituent chapter according to these bylaws shall be entitled to one (1) voting delegate and one (1) alternate, and in addition, shall be entitled to one (1) voting delegate and one (1) alternate for each twenty (20) members (above the required five member minimum) up to a maximum of ten (10) delegates.
B. The school chapter delegate and alternate shall be members in good standing in the chapter and shall be selected and/or elected by members of the school chapter at a proper meeting.
Section III. NSNA Constituents: School Associations
A. Each school constituent shall be entitled to delegates according to the number of
members in good standing in NSNA. Delegates shall be computed on the basis
of the number of members in each constituent as evidenced by the annual dues
received by NSNA on a date eight (8) weeks prior to the annual meeting.
B. A school chapter recognized as an NSNA constituent, as determined by these
bylaws (Article IV. Section 1.B), shall be entitled to one (1) voting delegate and
one (1) alternate, and in addition, shall be entitled to one (1) voting delegate and
one (1) alternate for every fifty (50) members above the required ten (10)
member minimum.
C. The school chapter delegate and alternate shall be members in good standing in
the chapter and shall be selected and/or elected by members of the school
chapter at a proper meeting.
Section IV. NSNA Constituents: State Associations
A. Each state constituent shall be entitled to one voting delegate and alternate. This delegate shall be the state president. If the state president cannot serve, a designated representative and alternate shall be elected at a state meeting or by the state Board of Directors.
ARTICLE VIII
BOARD OF DIRECTORS
Section I. Composition
A. The voting members shall be elected Board of Directors members.
B. The non-voting members shall be:
1. TNSA shall have no more than two (2) consultants to the Board of Directors.
2. There shall be a TNSA and a Special Consultant appointed by the Board.
3. The TNSA consultant shall be an officer from a previous Board.
Section II. Duties
A. The duties of the Board of Directors shall be:
1. To perform the duties as prescribed in these bylaws and standing rules and such as mandated to it by the delegates of this association.
2. To act as custodian of the property, securities, and records of this association.
3. To consider the approval of reimbursement for non-budgeted expenses.
4. To approve standing committee and special committee chairpersons as appointed by the President.
5. To have power to fill vacancies in the Nominations Committee.
6. To have power and authority of the affairs of this organization when action of the House of Delegates is deemed not feasible. A seven-eighths (7/8) vote of the Board of Directors is required to modify or rescind action of the House. Upon completion of such action, all local associations shall be notified in writing of the action taken.
7. To select a parliamentarian to be used at the discretion of the Board.
8. To approve contracts signed by the Treasurer and President.
9. At the first meeting of the Board of Directors, to appoint a third party to sign checks.
Section III. Meetings
A. There shall be three (3) regular meetings of the Board of Directors: post-convention, fall, and pre-convention. Additional meetings may be scheduled as needed by the Board of Directors.
B. Special meetings must be called by the President on written request of at least four (4) Board members.
C. All meetings of the TNSA Board shall be open to all members of TNSA.
D. A majority of the members of the Board shall constitute a quorum for Board meetings, including the President or Vice-President. In addition, a consultant shall be present.
E. Between meetings of the Board, the President may refer questions requiring immediate action by mail, telegraph, or telephone.
F. Any officer that is absent two (2) consecutive meetings will be considered for dismissal. A unanimous affirmative vote of the other officers is required for dismissal. A written notification of dismissal will be sent to the individual and the school's Dean.
G. If a member of the Board of Directors fails to fulfill his or her responsibilities as defined in the Bylaws, Policy Manual, and Standing Rules, the Board of Directors shall have the option of removing that Board member from the office. This action will require a two-thirds (2/3) vote of the Board of Directors.
ARTICLE IX
TNSA LIAISONS
The TNA and TLN Liaisons will be mutually agreed upon by the respective
organizations and invited to attend TNSA board meetings and functions.
ARTICLE X
DUES AND FINANCES
Section I. Membership Extension
Active, associate and individual membership may be extended six months beyond graduation from a student's program in nursing, providing membership was renewed while the student was enrolled in a nursing program. Subscriber membership shall be renewable annually.
Section II. Dues
A. The annual dues shall be $40.00 (total dues including NSNA and state and school, if applicable) per member. Payable for the appropriate dues year. The dues year shall be a period of twelve (12) consecutive months.
B. Payment of NSNA and TNSA, dues is a prerequisite for membership in TNSA. NSNA dues shall be thirty dollars ($30) per member. State dues shall be ten dollars ($10) per member. School dues shall be optional and shall be collected separately. (Not to be included with national and state dues.) The dues for active, associate, and individual members joining for two (2) years shall be seventy dollars ($70), payable for the appropriate dues year. The dues years for these members shall be a period of twenty-four (24) consecutive months (NSNA dues shall be fifty dollars ($50) and TNSA dues shall be twenty dollars ($20) for the two (2) year period.
C. NSNA and TNSA dues shall be payable directly to NSNA. NSNA shall remit to each state constituent the dues received on behalf of the constituent. School dues shall be collected separately.
D. Any member who fails to pay current dues shall forfeit all privileges of membership.
E. TNSA Subscriber member dues shall be thirty dollars ($30) for a one year period.
Section III. Dues Period
NSNA and TNSA dues shall be sent directly to NSNA and shall cover a period of twelve (12) consecutive months. TNSA dues shall cover the same concurrent twelve (12) month period as NSNA dues.
Section IV. Fees
A. Advertising fees for the CENTRAL LINE shall be determined by the Editor and approved by the Board of Directors.
B. Convention advertising fees, registration fees, and exhibitor fees shall be determined by the Vice President and President and approved by the Board of Directors.
Section V. Budget
A proposed budget shall be prepared by the Treasurer for the upcoming year and be published for all members to review in the Central Line following the May Board of Directors meeting.
Section VI. Audit
The records must be submitted for audit to the Board-approved Certified Public Accountant prior to convention. The auditor's report must be submitted to the House of Delegates for approval.
Section VII. Authorization to Sign Checks
A. There shall be three (3) individuals authorized to sign checks.
B. Two (2) of the three (3) shall be utilized to sign all checks.
C. Two (2) of the three (3) authorized individuals shall be the President and the Treasurer.
D. All three (3) individuals shall be bonded.
E. The third individual shall sign only when the President or Treasurer is unable to sign.

Section II. Duties
A. The standing committees shall be composed of members and shall assume such duties as prescribed in the Standing Rules as prescribed in the policy manual.
B. Standing committees shall report to the Board of Directors when requested to do so and shall make a written report at convention.
C. The Governmental Affairs Committee Chairperson shall:
1. Represent TNSA in all legislative matters involving the purposes and interest of TNSA.
2. Maintain a strong link of communication between TNSA and state and national legislators, particularly regarding bills pertinent to health care careers, health services, and health care delivery, and relay pertinent information to local chapters.
D. The Projects Committee Chairperson shall:
1. Be responsible for arranging up to two (2) state-wide projects.
2. Assist local chapters with information regarding health seminars. No more
than two (2) seminars per year will be funded by TNSA.
3. Provide information regarding community projects and available awards to
local chapters.
E. The Bylaws Committee Chairperson shall:
1. Submit TNSA Bylaws to NSNA every year or when changes are made in the four (4) areas of conformity during that year as evidenced with each new Chapter Information Guide made yearly.
2. Maintain a record of all local TNSA chapter bylaws and assist each chapter in complying with revisions.
3. Submit a copy of newly revised bylaws after each TNSA convention to all local chapters and the TNSA Board of Directors as evidenced with each new Blue Book made yearly.
4. Submit to all local chapters, four (4) weeks prior to the State Convention a copy of proposed bylaw changes.
F. The Membership Committee Chairperson shall:
1. Maintain accurate and current listings of all TNSA members.
2. Regional Directors shall communicate with regions/chapters regarding constituency status.
3. Promote involvement in NSNA membership contests.
G. The Image of Nursing Committee Chairperson shall:
1. To plan and implement a statewide project to promote nursing as a desirable profession with unlimited opportunities.
2. Will work with other professional nursing organizations to correct inaccurate portrayal of nursing and to promote accurate and positive reinforcement of the professional nursing image.
H. The Breakthrough to Nursing Committee Chairperson shall:
1. Promote career opportunities in nursing for traditional, nontraditional, and minority students.
2. Plan a program which shall promote "Breakthrough into Nursing" and minority enrollment which shall be entered in the NSNA national contest.
Section III. Special Committees
Special committees shall be appointed by the President after authorization by the House of Delegates or the Board of Directors.
ARTICLE XII
OFFICIAL PUBLICATION
Section I. Name
The name of the official publication of TNSA shall be the CENTRAL LINE.
Section II. Purpose
The purpose of the CENTRAL LINE shall be the promotion of the objectives of TNSA and to inform the membership of the progress in the work of the officers, committees, and individual chapters of TNSA.
Section III. Issues
The number of issues and dates of publication shall be determined by the Editor and approved by the Board of Directors. The Central Line shall be published via the TNSA web page and when necessary printed for distribution with the approval from the Board of Directors.
ARTICLE XIII
PARLIAMENTARY AUTHORITY
Robert’s Rules of Order, Newly Revised, shall govern the proceedings of TNSA in all cases not provided for in these bylaws.
ARTICLE XIV
AMENDMENTS
Section 1. These bylaws may be amended at the annual meeting by a two-thirds 2/3) vote of those present and voting provided that notice of the proposed amendments has been sent to the members at least four (4) weeks prior to that meeting.
Section 2. Amendments shall be signed and submitted in writing to the Bylaws Committee at least ten (10) weeks prior to the annual meeting. The Board of Directors, TNSA committees, constituents, chapters, or individual members may submit proposed amendments.
Section 3. These By-laws may be amended at the annual meeting by a ninety-nine percent (99%) vote of those present and voting provided that previous notice shall have been given at an earlier meeting of the same session, and provided that the proposed amendments shall have been presented to the chairman of the Bylaws Committee before the meeting where previous notice was given.
Section 4. Amendments to the bylaws of NSNA, adopted at the annual meeting which directly relate to the business of the constituent associations in the areas of conformity, shall automatically and immediately effect the necessary changes in the bylaws of the constituent associations and shall promptly be incorporated into their bylaws.
